WaterLog — Terms of Service
Document version: 2026-06-14 Effective date: September 14, 2026
These Terms of Service ("Terms") govern access to and use of the WaterLog platform (web and mobile applications and backend services, the "Service") provided by Epistemion LLC ("WaterLog", "we", "us"). By accepting these Terms at first login, or by using the Service, you agree to them. If you accept on behalf of an Organization, you represent that you are authorized to bind that Organization.
1. Accounts & roles
- Access requires an account created by invitation from an Organization administrator.
- Roles (Admin, Manager, Technician, Customer) determine permissions. You are responsible for activity under your account and for keeping credentials confidential.
- You must provide accurate information and promptly update it.
2. Subscriptions, seats & billing
- The Service is licensed on a subscription basis by plan tier and seat count. Managers and Technicians consume seats; Admins and Customer-portal users do not.
- Billing is processed through Stripe, our payment processor. Fees, billing cycle, and taxes are as presented at purchase.
- Seat reductions cannot drop below seats currently in use. Upgrades/downgrades take effect per the subscription terms. Except as required by law, fees are non-refundable.
3. Acceptable use
You agree not to:
- access data outside your Organization or role, or attempt to defeat tenant isolation or Security Rules;
- reverse engineer, scrape, overload, or probe the Service except as expressly permitted;
- upload unlawful, infringing, or malicious content; or
- use the Service to violate any law or third-party right.
4. Customer data & ownership
- As between you and WaterLog, your Organization owns the operational data it enters ("Customer Data"). You grant WaterLog a limited license to host and process Customer Data to provide the Service.
- WaterLog owns the Service software, design, and aggregated/de-identified analytics.
- Our handling of personal data is described in the Privacy Policy, incorporated by reference.
5. Field operations, compliance & AI disclaimers
- Risk levels & compliance content (e.g. Legionella risk assessments) are professional estimates based on the conditions observed at the time of service. They are not a binding legal determination or a guarantee of future conditions.
- AI-generated recommendations are drafts for human review and are not professional, legal, regulatory, or engineering advice. A qualified person must review all reports before they are sent.
- You are responsible for the accuracy of data entered and for your regulatory obligations.
6. Third-party services & integrations
The Service integrates with third parties (maps/routing, email, push, AI, procurement systems, payment processors). Your use of those features may be subject to the third party's terms. WaterLog is not responsible for third-party services.
7. Service availability
We aim for high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue features. No service-level agreement applies unless we have signed a separate written one with your Organization.
8. Suspension & termination
We may suspend or terminate access for breach of these Terms, non-payment, or to protect the Service or others. On termination, your right to use the Service ends; Customer Data is handled per the customer agreement and Privacy Policy.
9. Warranties & disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WATERLOG WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNTS PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You will indemnify WaterLog against claims arising from your misuse of the Service, your Customer Data, or your violation of these Terms or law.
12. Changes to these Terms
We may update these Terms. Material changes increment the consent version and require renewed acceptance at next login. Continued use after the effective date constitutes acceptance.
13. Governing law & disputes
These Terms are governed by the laws of the State of Illinois, United States, without regard to its conflict-of-laws rules, and disputes are resolved exclusively in the state and federal courts located in the State of Illinois. Nothing here waives any consumer-protection right you hold under the mandatory law of your own place of residence.
